Dear Member:
As you are aware, during the transition process from the previous TES Secretary to myself, certain Election related material was not returned to TES. The valid proxies, many of which were also assigned for the January 2010 and May 2010 Membership Meetings, were not contained in the material handed over. After numerous verbal and written attempts to secure the proxies, they are still outstanding.
Because of the missing proxies, it was impossible to achieve quorum for the January 2010 Membership Meeting. However, at the January 12, 2010 TES Membership Meeting, the TES Board of Directors voted to nullify and void any and all proxies currently outstanding, thereby mitigating our damages.
Also, because of the missing proxies, and the subsequent inability of the membership to conduct business at the January Membership Meeting, the members present voted to adjourn the business from January’s meeting to a Special Membership Meeting. This Special Membership Meeting is scheduled to be held at 8:00 P.M. on Monday, February 22, 2010 at Joria Studios, 260 West 36th Street, New York, New York.
